1. Acceptance and Modifications of Terms

1.1 Acceptance

By registering for an account, clicking "I Agree," or otherwise accessing or using the Service, you represent and warrant that:

• You have the legal capacity to enter into a binding contract
• You are at least 13 years of age (or the minimum age required in your jurisdiction)
• If you are under 18, your parent or legal guardian has reviewed and consented to these Terms
• All information you provide is accurate, current, and complete

1.2 Modifications

We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. Changes will be effective immediately upon posting to the Service with an updated "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms. We will make reasonable efforts to notify you of material changes via email or in-app notification.

Your Responsibility: It is your responsibility to review these Terms periodically. If you do not agree to any modifications, you must discontinue use of the Service.

2. Account Registration and Security

2.1 Account Creation

To access certain features of the Service, you must create an account by providing accurate and complete information, including but not limited to your name, email address, and password. You agree to:

• Maintain and promptly update your account information
• Not impersonate any person or entity or misrepresent your affiliation

2.3 Account Termination

You may terminate your account at any time through your account settings or by contacting us at support@satpal.ai. We reserve the right to suspend or terminate your account immediately, without prior notice, for any violation of these Terms or for any other reason at our sole discretion.

3. User Conduct and Prohibited Activities

3.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable federal, state, local, or international law or regulation
• Infringe upon the intellectual property rights of others
• Transmit any harmful, offensive, or illegal content
• Harass, abuse, threaten, or intimidate other users
• Engage in any form of cheating, academic dishonesty, or fraudulent activity
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) without our express written permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove, alter, or obscure any copyright, trademark, or proprietary notices

3.2 Content Standards

Any content you submit, post, or share through the Service (including but not limited to forum posts, comments, and messages) must not:

• Contain hate speech, discriminatory language, or promote violence
• Include sexually explicit, obscene, or pornographic material
• Violate the privacy rights of others
• Contain viruses, malware, or other harmful code
• Constitute spam, advertising, or unsolicited commercial communications
• Misrepresent your identity or affiliation with any person or organization

3.3 Enforcement

We reserve the right, but not the obligation, to monitor, review, and remove any content that violates these Terms. Violations may result in account suspension, termination, and/or legal action.

4. Intellectual Property Rights

4.1 Our Intellectual Property

The Service, including but not limited to its design, features, functionality, text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and all intellectual property rights therein, is owned by InnovAItion Labs Inc. or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Trademarks: "SATpal," the SATpal logo, and all related names, logos, product and service names, designs, and slogans are trademarks of InnovAItion Labs Inc. You may not use such marks without our prior written permission.

4.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Access and use the Service for your personal, non-commercial educational purposes
• Download and print materials solely for your personal study use

Restrictions: You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Service, except as expressly permitted by these Terms.

4.3 User Content

You retain ownership of any content you submit to the Service ("User Content"). However, by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and our business operations.

You represent and warrant that you own or have the necessary rights to grant the above license and that your User Content does not violate any third-party rights.

4.4 Third-Party Trademarks

SATpal is an independent educational service and is not affiliated with, endorsed by, or sponsored by the College Board.

5. Subscription and Payment Terms

5.1 Free and Paid Services

SATpal offers both free and paid subscription plans. The features, limitations, and pricing of each plan are described on our website and may be changed at our discretion with reasonable notice.

5.2 Billing and Payments

For paid subscriptions:

• Billing Cycle: Subscriptions are billed on a recurring basis (monthly or annually) as selected by you
• Payment Method: You must provide valid payment information and authorize us to charge your payment method
• Automatic Renewal: Your subscription will automatically renew unless you cancel before the renewal date
• Price Changes: We may change subscription prices with at least 30 days' notice
• Taxes: All fees are exclusive of applicable taxes, which you are responsible for paying

5.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period. We do not provide refunds for partial subscription periods, except as required by law or at our sole discretion.

30-Day Money-Back Guarantee: If you are not satisfied with your first paid subscription, you may request a full refund within 30 days of your initial purchase by contacting support@satpal.ai.

5.4 Free Trial

We may offer free trials for paid features. At the end of the trial period, your payment method will be charged unless you cancel before the trial ends. We reserve the right to modify or discontinue free trials at any time.

6. Privacy and Data Protection

7.2 No Guarantee of Results

IMPORTANT DISCLAIMER: While we strive to provide high-quality educational content, we make no guarantees, representations, or warranties regarding:

• Improvement in SAT scores or academic performance
• Admission to any educational institution
• Achievement of any specific educational or career goals
• Accuracy, completeness, or currency of all content

Your results depend on many factors including your effort, prior knowledge, study habits, and test-taking abilities. Individual results may vary.

7.3 AI-Generated Content

Our Service may include AI-powered features, including Coach SATpal. AI-generated content:

• Is provided for educational and informational purposes only
• May contain errors, inaccuracies, or incomplete information
• Should not be solely relied upon for exam preparation
• Should be verified against official SAT materials and resources

We recommend using multiple study resources and consulting with qualified educators for comprehensive exam preparation.

7.4 Third-Party Content

The Service may contain links to third-party websites, resources, or services. We do not endorse and are not responsible for the content, accuracy, or practices of any third-party sites. Your use of third-party sites is at your own risk and subject to their terms and policies.

8. Disclaimers and Limitations of Liability

8.1 "AS IS" and "AS AVAILABLE" Basis

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• The quality of any products, services, information, or other material obtained through the Service will meet your expectations
• Any errors in the Service will be corrected

8.2 Limitation of Liability

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

Maximum Liability: Our total liability to you for all claims arising from or related to the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) $100 USD.

9. Indemnification

You agree to defend, indemnify, and hold harmless InnovAItion Labs Inc., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of any law or the rights of a third party
• Your User Content or any content you submit, post, or transmit through the Service
• Your breach of any representation or warranty contained in these Terms

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

10. Dispute Resolution and Governing Law

10.1 Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

10.2 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@satpal.ai. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 60 days of submission, you or we may bring a formal proceeding.

10.3 Arbitration Agreement

Arbitration Rules: The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in Fulton County, Georgia, or another mutually agreeable location.

Class Action Waiver: YOU AND INNOVAITION LABS INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

10.4 Exceptions to Arbitration

Either party may bring a lawsuit in court in the following circumstances:

• To enforce or protect intellectual property rights
• For claims in small claims court (if the claim qualifies)
• To seek injunctive or other equitable relief

10.5 Venue and Jurisdiction

For any disputes not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia, United States.

11. Termination

11.1 Termination by You

You may terminate your account at any time by:

• Using the account deletion feature in your account settings
• Contacting us at support@satpal.ai

11.2 Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Fraudulent, abusive, or illegal activity
• Extended period of inactivity
• Request by law enforcement or government agencies
• Discontinuation or material modification of the Service

11.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and all associated data
• You will not be entitled to any refund of fees paid
• All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted transfer or assignment in violation of this section shall be null and void.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

14.6 Electronic Communications

By using the Service, you consent to receive electronic communications from us. These communications may include notices about your account, promotional messages, and other information concerning the Service. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

14.7 Export Controls

The Service may be subject to U.S. export control laws and may be subject to export or import regulations in other countries. You agree not to export, re-export, or transfer, directly or indirectly, any U.S. technical data acquired from us, or any products utilizing such data, in violation of the United States export laws or regulations.

14.8 Survival

All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, limitations of liability, dispute resolution, and general provisions.
